These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between PredicTrader LLC, a [State] limited liability company ("PredicTrader," "Company," "we," "our," or "us"), and every individual or entity ("User," "Customer," "Subscriber," "Partner," "you," or "your") who accesses or uses the Services.

Please read these Terms carefully before accessing or using any part of the Services.

By creating an account, downloading software, purchasing a subscription, beginning a trial, installing the software, participating in the Partner Program, clicking an acceptance button, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

ARTICLE I

DEFINITIONS

Unless otherwise indicated, the following capitalized terms shall have the meanings set forth below.

1.1 Account

An electronic customer account maintained by PredicTrader LLC for purposes including registration, authentication, licensing, subscription management, downloads, billing, support, partner management, or access to the Services.

1.2 Affiliate

Any person or entity participating in the PredicTrader Partner or Affiliate Program.

1.3 Agreement

These Terms of Service together with all incorporated policies and agreements.

1.4 AI Features

Any functionality that utilizes artificial intelligence, machine learning, statistical models, predictive algorithms, adaptive logic, automated decision support, or similar technologies.

AI Features may evolve over time and may include both proprietary and third-party technologies.

1.5 Broker

Any brokerage firm, futures commission merchant, introducing broker, dealer, trading platform, or financial institution through which the User places trades.

1.6 Business Day

Any day other than Saturday, Sunday, or a United States federal holiday.

1.7 Company

PredicTrader LLC.

1.8 Content

All text, graphics, images, logos, videos, documentation, manuals, screenshots, tutorials, training materials, charts, audio, downloads, source code, object code, software interfaces, user interfaces, marketing materials, databases, and other information made available through the Services.

1.9 Customer

Any individual or legal entity that creates an account, downloads software, registers for a trial, purchases a subscription, or otherwise uses the Services.

1.10 Demo Account

A simulated brokerage account that does not trade real money.

A Demo Account may also be referred to as a Simulation Account or Paper Trading Account.

1.11 Documentation

Any manuals, Quick Start Guides, User Guides, installation instructions, tutorials, FAQs, help files, videos, webinars, screenshots, or educational materials published by PredicTrader.

1.12 Download

Any software installer, update, patch, executable file, NinjaTrader Add-On, license file, documentation, or related file made available through the Website.

1.13 Exchange

Any regulated marketplace upon which financial instruments are traded.

1.14 Financial Instruments

Including but not limited to:

Futures

Options on Futures

Forex

Stocks

ETFs

CFDs

Commodities

Cryptocurrencies

Indices

or any other tradable instrument supported by PredicTrader.

1.15 Machine ID

A unique identifier generated from one or more characteristics of a computing device for licensing and activation purposes.

Machine IDs are used solely for licensing, fraud prevention, account security, and related operational purposes as described in the Privacy Policy.

1.16 Partner

A participant approved by PredicTrader LLC to market, refer, promote, or sell subscriptions under the PredicTrader Partner Program.

1.17 Platform

Any software platform capable of hosting or interacting with PredicTrader.

This includes but is not limited to:

NinjaTrader

Future supported trading platforms

Customer portals

1.18 PredicTrader

The collection of software products, services, websites, documentation, subscriptions, downloadable software, educational materials, licensing systems, support services, and related technologies operated by PredicTrader LLC.

1.19 Pricellator LLC

Pricellator LLC is a separate legal entity operating under common ownership and management with PredicTrader LLC.

Unless expressly stated otherwise in writing:

Pricellator LLC is not a party to this Agreement.

Products or services owned by Pricellator LLC are governed by their own applicable agreements.

References to PredicTrader do not include Pricellator LLC.

Nothing in these Terms shall be construed as creating joint liability between PredicTrader LLC and Pricellator LLC solely because the companies share common ownership or management.

1.20 Risk Capital

Funds that a User can afford to lose completely without materially affecting their financial security, retirement, housing, healthcare, essential living expenses, education, family obligations, or standard of living.

1.21 Services

Collectively, all products and services provided by PredicTrader LLC, including but not limited to:

Websites

Customer Portal

Software

Downloadable Products

AI Features

Trading Strategies

Indicators

Licensing

Subscription Services

Support

Educational Materials

Partner Program

Trial Programs

1.22 Software

Any executable code, NinjaTrader Add-On, indicator, automated trading strategy, algorithm, installer, update, library, object code, or related software distributed by PredicTrader LLC.

1.23 Subscription

A recurring or prepaid license granting access to designated Software or Services during the applicable subscription period.

1.24 Third-Party Services

Products or services provided by entities other than PredicTrader LLC.

Examples include:

NinjaTrader

Stripe

Hosting providers

Email providers

Analytics providers

Market Data providers

Brokerage firms

Payment processors

1.25 Trial

A promotional license granting temporary access to Software or Services under the terms displayed at registration.

1.26 User

Any individual or legal entity accessing or using the Services.

1.27 Website

The websites operated by PredicTrader LLC including:

predictrader.com

customer portals

support portals

download portals

and any successor domains.

1.28 "Including"

The words:

"including"

or

"includes"

shall always mean

"including without limitation."

1.29 Singular and Plural

Words in the singular include the plural and vice versa whenever the context requires.

1.30 Headings

Article headings and section headings are provided solely for convenience and shall not affect interpretation of this Agreement.

ARTICLE II

ACCEPTANCE OF TERMS

2.1 Binding Agreement

These Terms constitute a legally binding agreement between PredicTrader LLC and every person or entity accessing or using the Services.

By accessing or using the Services in any manner, you represent and warrant that:

You have read these Terms in their entirety.

You understand these Terms.

You agree to be legally bound by these Terms.

You possess the legal authority to enter into this Agreement.

You will comply with these Terms and all applicable laws.

If you do not agree to every provision of these Terms, you must immediately discontinue use of the Services.

2.2 Methods of Acceptance

You accept these Terms by any of the following actions:

Visiting the Website.

Creating an account.

Registering for a free trial.

Purchasing a subscription.

Downloading any software.

Installing any software.

Activating a software license.

Using any AI feature.

Logging into the Customer Portal.

Participating in the Partner Program.

Clicking "I Agree," "Accept," "Continue," or a similar acknowledgment.

Otherwise accessing or using any portion of the Services.

No handwritten signature is required.

2.3 Electronic Signatures

To the fullest extent permitted by applicable law, your electronic acceptance of these Terms constitutes your legally binding electronic signature.

You agree that electronic records, electronic notices, electronic communications, and electronic signatures satisfy any legal requirement that communications be in writing or signed.

2.4 Updates to These Terms

PredicTrader LLC reserves the right to modify these Terms from time to time.

Changes may become effective:

Immediately for new users; or

Upon reasonable notice for existing users, unless immediate changes are necessary to:

Comply with law;

Protect security;

Prevent fraud;

Address technical or operational issues.

When material changes are made, PredicTrader may provide notice by:

Email;

Website announcement;

Customer Portal notification;

Software notification; or

Another reasonable method.

The "Last Updated" date at the beginning of these Terms will also be revised.

2.5 Continued Use

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.

If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Services and, if applicable, cancel your subscription before the next renewal.

2.6 Additional Agreements

Certain products or services may be subject to additional agreements, including but not limited to:

Partner Program Agreement

Beta Program Agreement

Enterprise License Agreement

Promotional Terms

Trial Terms

Special Pricing Agreements

Non-Disclosure Agreements

Custom Development Agreements

If an additional written agreement conflicts with these Terms, the additional written agreement shall control only with respect to the specific subject matter covered by that agreement.

2.7 Incorporated Policies

The following documents are incorporated into and made part of these Terms as though fully set forth herein:

Refund and Cancellation Policy

Risk Disclosure

Partner Program Terms (where applicable)

Product-specific licensing terms

Promotional offer terms

Documentation expressly identified as contractual

Users are responsible for reviewing these documents periodically.

2.8 Entire Agreement

These Terms, together with all incorporated policies and any applicable written order or subscription agreement, constitute the complete agreement between the parties concerning the Services.

They supersede all prior or contemporaneous:

Discussions;

Emails;

Marketing materials;

Demonstrations;

Verbal statements;

Representations;

Proposals;

Understandings.

No employee, contractor, affiliate, reseller, or partner may modify these Terms except through a written amendment authorized by PredicTrader LLC.

2.9 No Reliance on Informal Statements

You acknowledge that you are not relying upon any statement outside these Terms when deciding to purchase or use the Services.

Without limitation, you acknowledge that you are not relying upon:

Marketing headlines;

Sales presentations;

Demonstrations;

Webinar examples;

Customer testimonials;

Social media posts;

YouTube videos;

Chat messages;

Email conversations;

Forum discussions;

Telephone conversations;

Informal support communications.

Unless expressly incorporated into a written agreement signed by PredicTrader LLC, such materials are provided for informational purposes only.

2.10 English Language Controls

These Terms are drafted in the English language.

Any translation is provided solely for convenience.

In the event of any inconsistency between the English version and a translated version, the English version shall govern to the fullest extent permitted by law.

ARTICLE III

ELIGIBILITY

3.1 Minimum Age

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use the Services.

By using the Services, you represent and warrant that you satisfy this requirement.

3.2 Legal Capacity

You represent and warrant that you possess the legal capacity to enter into binding contracts.

If you are entering into this Agreement on behalf of a corporation, partnership, limited liability company, trust, governmental entity, or other organization, you further represent that you have authority to bind that entity.

3.3 Compliance With Laws

You agree to comply with all applicable:

Federal laws;

State laws;

Local laws;

Foreign laws;

Exchange rules;

Broker requirements;

Trading platform rules;

Market-data agreements;

Export-control laws;

Sanctions regulations.

PredicTrader LLC does not represent that the Services are lawful in every jurisdiction.

You are solely responsible for determining whether use of the Services is permitted where you reside or conduct business.

3.4 Restricted Persons

You may not use the Services if:

You are prohibited by law from engaging in trading activities;

You are subject to applicable trade sanctions or export restrictions;

Your account has previously been terminated by PredicTrader LLC for fraud, abuse, or material violation of these Terms;

You intend to use the Services for unlawful purposes.

PredicTrader LLC reserves the right to deny or terminate access where reasonably necessary to comply with legal obligations or protect the integrity of the Services.

3.5 Accurate Information

You agree to provide truthful, accurate, current, and complete information during registration and throughout your use of the Services.

You agree to promptly update information that becomes inaccurate.

PredicTrader LLC may suspend or terminate accounts containing materially false, misleading, or incomplete information.

3.6 One Account Per User

Unless expressly authorized by PredicTrader LLC, each individual may maintain only one personal customer account.

Creating multiple accounts to obtain additional free trials, promotional pricing, referral credits, or other benefits is prohibited.

Business entities may maintain multiple authorized accounts where appropriate.

3.7 Account Security

You are responsible for maintaining the confidentiality of:

Usernames;

Passwords;

Authentication credentials;

License information;

Machine ID information;

API credentials, if applicable.

You agree to notify PredicTrader LLC promptly upon becoming aware of unauthorized access or suspected compromise of your account.

3.8 Responsibility for Account Activity

You remain responsible for all activities occurring under your account unless prohibited by applicable law.

This includes activity performed by:

Authorized users;

Employees;

Contractors;

Family members;

Anyone to whom you intentionally disclose your login credentials.

3.9 Educational and Commercial Use

PredicTrader may be used for personal trading and internal business purposes consistent with the license purchased.

Commercial redistribution, sublicensing, hosting, reselling, or providing PredicTrader as a managed service is prohibited unless expressly authorized in writing by PredicTrader LLC.

ARTICLE IV

RELATIONSHIP BETWEEN PREDICTRADER LLC AND PRICELLATOR LLC

4.1 Separate Legal Entities

PredicTrader LLC and Pricellator LLC are separate and independent legal entities organized under the laws of their respective jurisdictions.

Although the companies may share one or more common owners, officers, directors, managers, employees, contractors, consultants, office facilities, technology resources, or management personnel, each company maintains its own separate legal existence, business operations, contractual relationships, assets, liabilities, books, records, bank accounts, and obligations.

Nothing contained in these Terms shall be interpreted as merging the legal identities of the companies.

4.2 PredicTrader LLC

PredicTrader LLC owns, licenses, develops, operates, markets, supports, and distributes the PredicTrader family of products and services, including but not limited to:

PredicTrader software

PredicTrader Essential

PredicTrader Advanced

PredicTrader AI features

PredicTrader.com

Customer Portal

Subscription Services

Licensing Services

Download Services

Trial Programs

Support Services

Partner Program

Educational Materials

Documentation

User Guides

Quick Start Guides

Training Materials

Unless expressly stated otherwise in writing, these Terms apply only to products and services owned or operated by PredicTrader LLC.

4.3 Pricellator LLC

Pricellator LLC owns and operates products and services identified as belonging to Pricellator LLC.

Nothing contained in these Terms shall:

transfer ownership of any Pricellator LLC intellectual property;

create contractual obligations for Pricellator LLC;

create agency authority between the companies;

create partnership liability;

create joint venture liability;

create employer-employee relationships between the companies.

Products owned by Pricellator LLC remain subject to their own applicable agreements.

4.4 No Joint Liability

Except where required by applicable law or expressly agreed in writing, neither PredicTrader LLC nor Pricellator LLC shall be responsible for:

the debts;

obligations;

contracts;

warranties;

liabilities;

acts;

omissions;

representations;

products;

services;

of the other company solely because they share common ownership, management, personnel, or business resources.

4.5 Separate Intellectual Property

Each company retains exclusive ownership of its own:

software;

algorithms;

source code;

object code;

documentation;

trademarks;

copyrights;

patents;

trade secrets;

confidential information;

customer lists;

websites;

databases;

marketing materials.

Nothing in these Terms transfers ownership of intellectual property between PredicTrader LLC and Pricellator LLC.

4.6 Shared Administrative Services

PredicTrader LLC and Pricellator LLC may utilize shared administrative resources including, but not limited to:

accounting;

legal services;

customer support;

software development;

marketing;

payment processing;

cloud hosting;

information technology;

office facilities;

management personnel.

The use of shared administrative resources shall not create:

a partnership;

a joint venture;

an agency relationship;

successor liability;

alter ego status;

co-employment.

4.7 Shared Websites

Certain websites, customer portals, login systems, payment systems, or support platforms may provide access to products or services offered by more than one company.

The mere presence of multiple products on the same website does not alter ownership or legal responsibility for those products.

Each product shall remain owned and operated by the legal entity identified for that product.

4.8 Separate Customer Agreements

A customer may simultaneously have agreements with:

PredicTrader LLC,

Pricellator LLC,

both companies,

or neither company,

depending upon the products or services purchased.

Each agreement shall be interpreted independently unless expressly stated otherwise.

4.9 Cross-Marketing

PredicTrader LLC and Pricellator LLC may advertise or promote one another's products.

Cross-marketing does not:

transfer ownership;

transfer liability;

create warranties;

create guarantees;

modify contractual obligations.

4.10 Payments

Payments made for products owned by PredicTrader LLC constitute payments to PredicTrader LLC unless otherwise disclosed at checkout.

Payments made for products owned by Pricellator LLC constitute payments to Pricellator LLC unless otherwise disclosed.

Payment processors may display the legal business name associated with the merchant account used to process the transaction.

4.11 Customer Support

Customer support may be provided by personnel employed or retained by either company.

The identity of the support representative shall not determine which legal entity owns or licenses a particular product.

Support communications do not modify contractual ownership.

4.12 No Third-Party Beneficiary Rights

Nothing contained in these Terms grants third-party beneficiary rights to Pricellator LLC unless expressly stated.

Likewise, nothing contained in agreements issued by Pricellator LLC grants third-party beneficiary rights to PredicTrader LLC unless expressly stated.

ARTICLE V

DESCRIPTION OF THE SERVICES

5.1 Overview

PredicTrader provides software and related online services intended to assist traders in monitoring financial markets and automating certain trading functions according to user-defined settings.

PredicTrader is designed to operate as a decision-support and trade-automation platform. Features vary by subscription plan, software version, supported platform, and product edition.

5.2 Services Provided

The Services may include, without limitation:

Downloadable software;

NinjaTrader add-ons;

Automated trading strategies;

Technical indicators;

Artificial intelligence features;

Market analysis tools;

Chart overlays;

Signal generation;

Trade filters;

Position management;

Order automation;

Licensing systems;

Customer Portal;

Software activation;

Subscription management;

Email verification;

User account management;

Partner Program;

Educational videos;

Documentation;

Quick Start Guides;

Webinars;

Zoom demonstrations;

Technical support.

5.3 Service Availability

PredicTrader LLC makes commercially reasonable efforts to maintain availability of the Services.

However, uninterrupted availability is not guaranteed.

Services may be unavailable because of:

maintenance;

upgrades;

security events;

hardware failure;

software defects;

internet outages;

cyberattacks;

third-party outages;

force majeure events.

Temporary interruptions do not constitute a breach of these Terms.

5.4 Modifications

PredicTrader LLC may:

add features;

remove features;

discontinue products;

introduce new subscription plans;

modify pricing;

change software interfaces;

update algorithms;

revise documentation;

improve security;

modify licensing systems.

No particular version of the software is guaranteed to remain available indefinitely.

5.5 Beta Features

Certain features may be identified as:

Beta;

Preview;

Experimental;

Early Access;

Evaluation;

Limited Release.

Beta features:

may contain defects;

may change substantially;

may be discontinued;

may never become commercially available.

Users assume additional risks associated with Beta features.

5.6 Artificial Intelligence Features

Certain products may incorporate artificial intelligence, machine learning, predictive analytics, statistical modeling, or similar technologies ("AI Features").

AI Features are intended solely to assist users in analyzing market information and automating rule-based decisions.

AI Features:

do not predict future market movements;

do not guarantee profitable trades;

may generate inaccurate or incomplete outputs;

should not be relied upon as the sole basis for investment decisions.

The user remains solely responsible for evaluating all outputs generated by AI Features.

5.7 Educational Content

Educational materials are provided solely for informational purposes.

Examples include:

User Guides;

Tutorials;

Videos;

Zoom demonstrations;

Webinars;

FAQs;

Support articles;

Sample settings.

Educational content is intended to explain software functionality and general trading concepts.

It is not individualized investment advice.

5.8 Customer Portal

The Customer Portal may allow users to:

manage subscriptions;

download software;

update Machine IDs;

manage passwords;

view invoices;

update billing information;

access documentation;

contact support.

PredicTrader LLC may expand or modify portal functionality at any time.

5.9 Support Services

Support services may include:

email support;

ticket support;

knowledge base;

webinars;

Zoom sessions;

documentation;

software updates.

PredicTrader LLC does not guarantee:

response times;

issue resolution;

compatibility with unsupported systems;

custom programming services.

Support is provided on a commercially reasonable basis.

5.10 No Obligation to Continue Services

PredicTrader LLC reserves the right to discontinue any Service, product, feature, subscription plan, or software version at its discretion, subject to applicable law and any contractual commitments already made to existing subscribers.

Where commercially reasonable, PredicTrader LLC will endeavor to provide advance notice before permanently discontinuing a material Service.

ARTICLE VI

CUSTOMER ACCOUNTS

6.1 Account Registration

Certain Services require the creation of a customer account ("Account").

To create an Account, you may be required to provide information including, but not limited to:

First Name

Last Name

Email Address

Password

Machine ID

Country of Residence

Billing Information

Company Name (if applicable)

You agree that all information submitted during registration shall be:

Accurate;

Current;

Complete;

Truthful.

PredicTrader LLC reserves the right to reject any registration request in its sole discretion where reasonably necessary to protect the integrity or security of the Services or to comply with applicable law.

6.2 Email Verification

PredicTrader may require verification of your email address before allowing:

Software downloads;

Trial activation;

Subscription activation;

Password recovery;

Partner participation;

Customer Portal access.

Failure to verify your email may limit or prevent access to portions of the Services.

6.3 Account Security

You are solely responsible for maintaining the confidentiality of:

Your password;

Login credentials;

Authentication codes;

Recovery information.

You agree not to:

Share your account with another person;

Permit unauthorized access;

Sell your account;

Transfer your account without written authorization.

6.4 Responsibility for Account Activity

You are responsible for all activity occurring under your Account unless applicable law provides otherwise.

This includes activity performed by:

Family members;

Employees;

Contractors;

Authorized users;

Anyone to whom you voluntarily disclose your credentials.

6.5 Unauthorized Access

If you suspect unauthorized access to your Account, you agree to notify PredicTrader LLC immediately.

PredicTrader LLC may temporarily suspend your Account while investigating suspected unauthorized access or security incidents.

6.6 Account Suspension

PredicTrader LLC may suspend or restrict an Account if it reasonably believes that:

Fraud has occurred;

Identity information is false;

Payment has failed;

A chargeback has been initiated;

Licensing has been circumvented;

The Services are being abused;

The Account is being shared in violation of these Terms;

Continued access poses a security risk.

PredicTrader LLC will make commercially reasonable efforts to notify the Account holder when appropriate, except where doing so could compromise security or violate legal obligations.

6.7 Account Termination

Users may request closure of an Account by contacting customer support or using the account-management tools provided in the Customer Portal, where available.

Closing an Account does not automatically:

Cancel a subscription;

Refund prior payments;

Remove payment obligations;

Delete records that PredicTrader LLC is legally required or reasonably entitled to retain.

6.8 Survival of Records

Following Account termination, PredicTrader LLC may retain records reasonably necessary for:

Legal compliance;

Tax reporting;

Fraud prevention;

Security investigations;

Chargeback defense;

Contract enforcement;

Accounting;

Audit requirements;

Dispute resolution.

Retention practices are further described in the Privacy Policy.

ARTICLE VII

SOFTWARE LICENSE GRANT

7.1 License, Not Sale

PredicTrader software is licensed—not sold.

Your purchase of a subscription, license, or trial grants only the limited rights expressly described in these Terms.

No ownership interest in the Software is transferred.

7.2 License Grant

Subject to your continued compliance with these Terms and payment of all applicable fees, PredicTrader LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

Download the Software;

Install the Software;

Activate the Software;

Use the Software solely for your own personal or internal business trading purposes.

The scope of your license is determined by:

Your subscription plan;

License type;

Machine ID allocation;

Any written agreement between you and PredicTrader LLC.

7.3 Subscription-Based License

Unless otherwise expressly stated, Software licenses remain valid only while:

Your subscription is active;

Required fees are paid;

Your Account remains in good standing;

You comply with these Terms.

Upon expiration or termination of the applicable subscription, your right to use subscription-only Software and Services terminates unless otherwise provided by your license.

7.4 Trial License

Free Trial licenses:

Are temporary;

May include reduced functionality;

May expire automatically;

May be revoked at any time;

May not include updates or technical support.

PredicTrader LLC may limit:

The number of Trial licenses;

Duration;

Eligibility;

Supported products.

7.5 License Restrictions

Except as expressly authorized in writing, you shall not:

Copy the Software except for one archival backup where permitted by law;

Sell the Software;

Rent the Software;

Lease the Software;

Distribute the Software;

Transfer the Software;

Sublicense the Software;

Publish the Software;

Host the Software for third parties;

Provide the Software as a service bureau or managed service;

Permit multiple users to share one license beyond the limits of your purchased plan.

7.6 Reverse Engineering

Except to the extent prohibited by applicable law, you shall not:

Reverse engineer;

Decompile;

Disassemble;

Decode;

Attempt to derive source code;

Circumvent technological protection measures;

Remove license protections;

Modify activation mechanisms.

7.7 Reservation of Rights

All rights not expressly granted are reserved by PredicTrader LLC.

Nothing in these Terms grants any ownership interest in:

Source code;

Object code;

Algorithms;

Trading logic;

Artificial intelligence models;

Technical documentation;

Trade secrets;

Databases;

Proprietary methodologies.

7.8 Feedback

If you voluntarily provide suggestions, ideas, bug reports, feature requests, improvements, comments, or other feedback regarding the Services ("Feedback"), you grant PredicTrader LLC a perpetual, worldwide, royalty-free, irrevocable, transferable license to use, modify, publish, incorporate, commercialize, sublicense, and otherwise exploit that Feedback without compensation or attribution to you.

Nothing in this section obligates PredicTrader LLC to implement any Feedback.

7.9 No Source Code Access

Unless expressly agreed in writing:

Source code shall not be provided.

ARTICLE VIII

MACHINE ID LICENSING

8.1 Purpose

PredicTrader uses Machine ID licensing to:

Activate Software;

Prevent unauthorized copying;

Prevent account sharing;

Protect intellectual property;

Improve security;

Facilitate technical support.

8.2 Machine Identification

Each installation may be associated with a Machine ID generated from characteristics of the computer or operating environment.

The exact method of Machine ID generation is proprietary and may change without notice to improve security and reliability.

8.3 License Activation

Activation may require communication with PredicTrader licensing servers.

Failure to complete activation may prevent Software operation.

8.4 Machine Changes

Replacing or substantially changing computer hardware, operating systems, virtualization environments, or other system components may change the Machine ID and require reactivation.

8.5 License Transfers

Where permitted under your subscription or license, PredicTrader LLC may allow transfer of a license from one Machine ID to another.

PredicTrader LLC reserves the right to:

Limit the number of transfers;

Require identity verification;

Require deactivation of the previous installation;

Deny transfer requests that appear fraudulent or abusive.

8.6 Unauthorized Circumvention

You shall not:

Attempt to bypass Machine ID licensing;

Modify activation files;

Use unauthorized activation tools;

Share activation credentials;

Alter licensing software;

Circumvent subscription verification.

Attempting to circumvent licensing constitutes a material breach of these Terms.

8.7 License Audits

PredicTrader LLC reserves the right to verify license compliance through reasonable technical measures, provided such measures are consistent with applicable law and the Privacy Policy.

Verification may include:

License validation;

Machine ID confirmation;

Subscription status verification;

Software version verification.

PredicTrader LLC will not intentionally access or inspect personal files unrelated to Software licensing.

8.8 Revocation

PredicTrader LLC may revoke or suspend a license if:

Payment is reversed or charged back;

Fraud is suspected;

Licensing is circumvented;

Software is distributed unlawfully;

These Terms are materially violated.

8.9 Reinstatement

A suspended or revoked license may be reinstated if the underlying issue has been resolved to PredicTrader LLC's reasonable satisfaction.

Reinstatement is not guaranteed and may require verification of identity, payment, or compliance.

8.10 Survival

The licensing restrictions contained in this Article survive termination of this Agreement.

ARTICLE IX

SOFTWARE UPDATES, MAINTENANCE, AND SUPPORT

9.1 Software Updates

PredicTrader LLC may, from time to time, release:

Bug fixes;

Security patches;

Maintenance releases;

Compatibility updates;

Feature enhancements;

Performance improvements;

New software versions;

User interface improvements;

Documentation updates.

Updates may be delivered automatically, manually through the Customer Portal, or by another method designated by PredicTrader LLC.

9.2 No Obligation to Update

Except where expressly stated in writing, PredicTrader LLC is under no obligation to:

Continue development of any Software;

Release future versions;

Add requested features;

Correct every reported defect;

Maintain compatibility with future versions of third-party software.

The decision to develop, discontinue, or modify any Software remains solely within the discretion of PredicTrader LLC.

9.3 Compatibility

PredicTrader is designed for specific software environments.

Compatibility is not guaranteed with:

Unsupported versions of NinjaTrader;

Beta versions of third-party software;

Modified platform installations;

Unsupported operating systems;

Virtual machines;

Remote desktop environments;

Third-party add-ons;

Custom indicators;

Other automated strategies.

Users are responsible for verifying compatibility before installing updates.

9.4 User Responsibility Before Updating

Before installing any update, the User should:

Backup important workspace files;

Backup templates;

Backup strategy settings;

Backup indicators;

Backup databases when appropriate;

Test updates in a simulation environment.

PredicTrader LLC shall not be responsible for losses arising from failure to create appropriate backups.

9.5 Mandatory Updates

9.8 Scope of Support

Technical support is intended to assist users with:

Installation;

Activation;

Licensing;

Configuration;

General operation;

Documented features;

Reproducible software defects.

Support does not include:

Trading advice;

Investment advice;

Strategy optimization;

Account management;

Broker support;

Computer repair;

Operating system troubleshooting;

Network troubleshooting;

Custom software development;

Custom programming;

Data recovery.

9.9 No Guaranteed Response Time

PredicTrader LLC will make commercially reasonable efforts to respond to support requests.

However, no guarantee is made regarding:

Response times;

Resolution times;

Availability outside business hours;

Immediate resolution of every issue.

Support requests are generally handled in the order received, subject to reasonable prioritization.

9.10 Remote Assistance

Where offered, remote assistance sessions are provided solely as a convenience.

By participating in a remote session, the User acknowledges that:

The User remains responsible for all trading decisions.

The User should monitor any remote session.

PredicTrader LLC does not assume control of the User's trading account or brokerage relationship.

The User may terminate the session at any time.

ARTIFICIAL INTELLIGENCE FEATURES

10.1 Overview

Certain Services may incorporate:

Artificial intelligence;

Machine learning;

Predictive analytics;

Statistical modeling;

Adaptive algorithms;

Pattern recognition;

Decision-support technologies.

These features are collectively referred to as "AI Features."

10.2 Purpose

AI Features are designed to assist users by:

Evaluating market conditions;

Identifying predefined patterns;

Assisting with rule-based trade analysis;

Automating software functions;

Improving workflow efficiency.

AI Features are intended as software tools only.

10.3 No Prediction of Future Markets

AI Features do not:

Owned by NinjaTrader;

Operated by NinjaTrader;

Controlled by NinjaTrader;

Sponsored by NinjaTrader;

An agent of NinjaTrader.

Any reference to NinjaTrader is solely for identification of platform compatibility.

11.3 Third-Party Changes

Third-party platforms may:

Change APIs;

Modify software;

Change licensing;

Remove functionality;

Introduce defects;

Discontinue products.

PredicTrader LLC is not responsible for changes made by third parties that affect Software compatibility.

11.4 Broker Independence

PredicTrader LLC does not:

Guarantee broker execution;

Control brokerage operations;

Maintain brokerage accounts.

Users independently select and maintain their brokerage relationships.

PredicTrader LLC cannot guarantee that any submitted order will be:

The User is responsible for periodically confirming that:

The brokerage account position;

The platform position;

remain synchronized.

If a discrepancy occurs, the User should promptly investigate and take appropriate action.

11.10 No Custody of Funds

PredicTrader LLC does not:

Hold customer funds;

Accept deposits for trading;

Execute trades as principal;

Maintain brokerage accounts;

Custody securities or commodities.

All trading funds remain under the control of the User and the User's selected financial institution.

11.11 Emergency Procedures

Users should become familiar with emergency procedures before enabling automated trading, including how to:

Disable the strategy;

Disable platform automation;

Cancel working orders;

Flatten open positions;

Disconnect from the broker;

Contact their broker directly in the event of an emergency.

PredicTrader LLC recommends practicing these procedures in a simulation environment before engaging in live trading.

SUBSCRIPTION SERVICES

12.1 Subscription Plans

PredicTrader LLC offers software through subscription plans that may include, without limitation:

Monthly subscriptions;

Annual subscriptions;

Promotional subscriptions;

Trial subscriptions;

Lifetime licenses (if offered);

Enterprise licenses;

Educational licenses; and

Other plans introduced from time to time.

Subscription features, pricing, download rights, updates, support, and AI capabilities may vary by plan.

12.2 Subscription Benefits

Subject to your purchased plan, an active subscription may provide access to:

Webinars;

Future improvements included with your plan.

PredicTrader LLC reserves the right to modify plan features provided that material reductions for existing paid subscribers are handled in accordance with applicable law and any specific commitments made at purchase.

12.3 Subscription Term

Each subscription begins on the date payment is successfully processed unless otherwise stated.

The subscription continues until:

It expires;

It is cancelled by the Customer;

It is terminated by PredicTrader LLC pursuant to these Terms; or

It is otherwise ended according to the applicable subscription plan.

12.4 Automatic Renewal

Unless expressly stated otherwise during checkout:

Subscriptions automatically renew at the end of each billing period.

By purchasing a subscription, you authorize PredicTrader LLC (or its payment processor) to charge the payment method on file for each renewal until cancellation.

Renewal occurs using the pricing then in effect unless a different price was specifically guaranteed.

12.5 Customer Responsibility

The Customer is responsible for maintaining:

Current payment information;

Accurate billing address;

Valid email address;

Current contact information.

Failure to maintain accurate information may interrupt subscription services.

12.6 Subscription Changes

PredicTrader LLC may introduce:

New plans;

New pricing;

New features;

Additional AI capabilities;

Additional support tiers;

Enterprise editions.

Customers may upgrade or downgrade their subscription if the selected plan permits.

Changes generally become effective at the next billing cycle unless otherwise stated.

12.7 Plan Availability

PredicTrader LLC may discontinue offering a subscription plan to new customers while continuing to honor existing subscriptions according to their terms.

No Customer acquires a perpetual right to purchase future subscriptions at historical pricing.

PAYMENT PROCESSING AND STRIPE BILLING

PredicTrader currently uses Stripe as its primary payment processor.

PredicTrader LLC may change payment processors at any time without prior notice.

Payment processing is also subject to the applicable payment processor's terms and privacy practices.

13.2 Authorization

By providing a payment method, you authorize PredicTrader LLC and its payment processor to:

Charge applicable taxes;

Process refunds when authorized;

Verify payment information.

13.3 Billing Currency

Unless otherwise specified, all prices are quoted and charged in United States Dollars (USD).

13.4 Taxes

PredicTrader LLC will investigate billing disputes in good faith.

13.7 Price Changes

PredicTrader LLC reserves the right to modify subscription pricing.

For existing subscribers, revised pricing will generally become effective at the next renewal after any notice required by applicable law.

13.8 Promotional Pricing

Promotional pricing:

May be time-limited;

May apply only to new customers;

May not be combined with other offers;

May be withdrawn at any time for future purchases.

PredicTrader LLC is not obligated to retroactively apply promotional pricing.

13.9 Coupons

Coupons, promotional codes, and discounts:

Have no cash value;

FREE TRIALS

Unless otherwise stated, each individual is eligible for only one free trial per product.

PredicTrader LLC may also restrict trials based on:

Payment method;

Device;

Household;

Business entity;

Other reasonable fraud-prevention criteria.

14.3 Verification

Trial activation may require:

Identity verification;

Machine ID registration;

Acceptance of these Terms.

Failure to complete verification may prevent activation.

14.4 Trial Expiration

14.5 Trial Abuse

Attempted to bypass licensing controls.

14.6 No Guarantee of Future Offers

PredicTrader LLC may discontinue or modify free trials at any time for future users.

ARTICLE XV

REFUNDS, CANCELLATIONS, AND CHARGEBACKS

15.1 Cancellation

Customers may cancel recurring subscriptions using the Customer Portal or another cancellation method provided by PredicTrader LLC.

Cancellation prevents future renewal charges but does not normally affect access during the remainder of the already-paid billing period.

15.2 Effect of Cancellation

Cancellation generally:

Ends future automatic renewals;

Does not immediately terminate access unless requested;

Does not delete the Customer Account;

Does not automatically delete Customer data retained pursuant to the Privacy Policy.

15.3 Refund Policy

Refund eligibility is governed by the published Refund Policy.

Unless otherwise required by law or expressly approved by PredicTrader LLC:

Subscription payments are non-refundable;

Partial months are not prorated;

Failure to use the software does not create refund eligibility;

Trading losses do not create refund eligibility;

Dissatisfaction with market performance does not create refund eligibility.

Nothing in this section limits any non-waivable consumer rights under applicable law.

15.4 Duplicate Charges

If duplicate billing occurs because of an error attributable to PredicTrader LLC or its payment processor, PredicTrader LLC will make commercially reasonable efforts to promptly correct the error.

15.5 Chargebacks

Customers are encouraged to contact PredicTrader LLC before initiating a chargeback.

Initiating a chargeback may result in temporary suspension of:

Software licenses;

Downloads;

Customer Portal access;

Support services;

Partner Program participation.

PredicTrader LLC may provide relevant transaction records to the payment processor to respond to the dispute.

15.6 Fraudulent Chargebacks

Where PredicTrader LLC reasonably determines that a chargeback was initiated fraudulently or in bad faith, it may:

Suspend the Account;

Terminate subscriptions;

Revoke licenses;

Decline future purchases;

Pursue other remedies available under applicable law.

This provision does not restrict a customer's legal right to dispute unauthorized or erroneous charges.

15.7 Subscription Reinstatement

Following cancellation or suspension, a Customer may purchase a new subscription or request reinstatement, subject to:

Payment of outstanding balances;

Verification of account ownership;

Compliance with these Terms.

PredicTrader LLC is not obligated to restore historical pricing or promotional terms unless required by a written offer.

15.8 Survival

Termination or cancellation of a subscription does not affect provisions of these Terms that by their nature are intended to survive, including:

Payment obligations accrued before termination;

Intellectual property rights;

License restrictions;

Warranty disclaimers;

Limitation of liability;

Indemnification;

Dispute resolution;

Governing law;

Any other provision that reasonably should survive termination.

INTELLECTUAL PROPERTY RIGHTS

The Services are protected by United States and international intellectual property laws.

Except for the limited license expressly granted in these Terms, PredicTrader LLC retains all right, title, and interest in and to the Services, including all intellectual property rights.

Nothing in these Terms transfers ownership of any intellectual property to the User.

User interface designs;

Chart layouts;

Documentation;

Quick Start Guides;

User Guides;

Website content;

Graphics;

Icons;

Logos;

Videos;

Audio;

Databases;

Customer Portal;

APIs;

Marketing materials;

Training materials;

Product names;

Product architecture;

Proprietary methodologies.

16.3 Proprietary Trading Logic

Without limiting the foregoing, PredicTrader's proprietary trading methodologies constitute confidential and proprietary intellectual property.

Examples include, but are not limited to:

Entry logic;

Exit logic;

Position management;

Trade management;

EMA Gate methodology;

Stack filter;

Delta pattern recognition;

Trend filters;

Signal filters;

Dynamic risk management;

Artificial intelligence models;

Order management techniques;

Optimization methodologies.

These methodologies remain confidential regardless of whether they are visible through software operation.

16.4 No Implied Rights

Except for the limited license expressly granted in these Terms, no rights are granted by implication, estoppel, or otherwise.

All rights not expressly granted are reserved by PredicTrader LLC.

16.5 Suggestions

PredicTrader welcomes customer suggestions.

However, unless otherwise agreed in writing:

Suggestions become non-confidential;

PredicTrader LLC may use them without restriction;

No compensation is owed;

No ownership interest is created.

16.6 Improvements

PredicTrader LLC shall exclusively own any improvements, enhancements, modifications, or derivative works created by PredicTrader LLC relating to the Services, whether inspired by customer feedback or otherwise.

Users may print or download Documentation solely for their own personal use in connection with a valid Software license.

Upload Documentation to another website;

Redistribute installation files;

Sell User Guides;

Create derivative documentation;

Translate Documentation for commercial distribution;

Nothing in these Terms prohibits fair use permitted under applicable copyright law.

However, fair use shall not be interpreted to permit redistribution of substantial portions of proprietary Software or Documentation.

18.3 Partner Use

Approved Partners may use designated trademarks solely in accordance with:

Partner Guidelines;

Brand Guidelines;

Written authorization.

Such authorization automatically terminates upon termination of Partner status.

18.4 Prohibited Uses

Users may not:

Register confusingly similar domain names;

Create confusingly similar trademarks;

Impersonate PredicTrader;

Suggest sponsorship or endorsement that does not exist;

Remove trademark notices.

ARTICLE XIX

DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)

19.1 Respect for Intellectual Property

PredicTrader LLC respects the intellectual property rights of others and expects Users to do the same.

19.2 Copyright Complaints

If you believe copyrighted material has been improperly posted through the Services, you may submit a DMCA notification containing:

Identification of the allegedly infringing material;

Such materials are collectively referred to as "User Content."

20.2 Ownership

Users retain ownership of their original User Content.

However, by submitting User Content to PredicTrader LLC, the User grants PredicTrader LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, display, modify, distribute, and create derivative works from such User Content solely for purposes including:

Improving the Services;

20.3 Feedback

Any ideas, recommendations, suggestions, enhancement requests, comments, or other feedback provided by a User may be used by PredicTrader LLC without restriction and without any obligation to compensate the User.

20.4 Testimonials

If a User voluntarily submits a testimonial or review, PredicTrader LLC may publish it in connection with marketing the Services, subject to applicable law.

PredicTrader LLC may:

Correct grammar;

Correct spelling;

Shorten testimonials for clarity;

Remove personal information.

PredicTrader LLC will not materially alter the substance of a testimonial in a misleading manner.

Where required by law, material connections, incentives, or compensation related to testimonials will be disclosed.

20.5 User Responsibility

The User represents and warrants that User Content:

Does not infringe the rights of others;

Does not violate applicable law;

Is not defamatory;

Does not contain malicious code;

Does not contain confidential information that the User lacks authority to disclose.

20.6 Removal

PredicTrader LLC may remove User Content that it reasonably believes:

Violates these Terms;

Infringes intellectual property rights;

Is unlawful;

Contains malware;

Threatens security;

Is abusive, fraudulent, or misleading.

PredicTrader LLC is not obligated to monitor all User Content but reserves the right to do so.

20.7 No Obligation to Publish

PredicTrader LLC has no obligation to publish, maintain, or respond to any User Content, suggestion, feature request, or feedback.

Submission of User Content does not create any partnership, joint venture, employment, or fiduciary relationship between the User and PredicTrader LLC.

ARTICLE XXI

ACCEPTABLE USE OF THE SERVICES

21.1 Lawful Use

You agree to use the Services only for lawful purposes and in compliance with:

Applicable federal, state, local, and international laws;

Commodity, securities, and financial-services regulations applicable to you;

Exchange rules;

Broker and futures commission merchant requirements;

Trading platform terms;

Market-data agreements; and

These Terms.

You are solely responsible for determining whether your use of the Services complies with the laws applicable to you.

21.2 Personal License

Unless otherwise authorized in writing, your license is limited to your own personal use or your organization's internal business use.

You may not use the Services to operate a commercial software-hosting business, signal-selling service, copy-trading platform, or other commercial offering unless expressly authorized by PredicTrader LLC.

21.3 Cooperation

You agree to cooperate with reasonable requests made by PredicTrader LLC relating to:

License verification;

Fraud investigations;

Security incidents;

Billing disputes;

Support requests;

Compliance with these Terms.

21.4 System Integrity

You agree not to intentionally interfere with the integrity or operation of the Services.

ARTICLE XXII

PROHIBITED ACTIVITIES

22.1 General Prohibition

You shall not use the Services in any manner that is unlawful, fraudulent, abusive, or inconsistent with these Terms.

22.2 Software Abuse

Without limitation, you shall not:

Copy Software except as expressly permitted;

Share Software licenses;

Share Machine IDs;

Share activation credentials;

Circumvent licensing;

Modify licensing software;

Attempt to disable copy protection;

Reverse engineer protected components;

Remove copyright notices;

Remove trademarks;

Redistribute installers;

Redistribute updates;

Publish proprietary documentation.

22.3 Account Abuse

You shall not:

Create false accounts;

Create multiple accounts to obtain additional free trials;

Share accounts;

Sell accounts;

Purchase accounts from third parties;

Transfer accounts without authorization;

Impersonate another person.

22.4 Security

You shall not:

Attempt unauthorized access;

Probe security vulnerabilities;

Perform penetration testing without authorization;

Introduce malware;

Introduce ransomware;

Upload viruses;

Launch denial-of-service attacks;

Interfere with licensing servers.

22.5 Website Abuse

You shall not:

Scrape Website content except as permitted by law;

Harvest email addresses;

Harvest customer information;

Use automated bots in a manner that unreasonably burdens the Website;

Circumvent rate limits;

Bypass authentication systems.

Reasonable indexing by recognized search engines is not prohibited.

22.6 Fraud

You shall not:

Submit fraudulent payment information;

Initiate fraudulent chargebacks;

Misrepresent identity;

Misrepresent business affiliation;

Misrepresent trading results;

Use stolen payment methods.

22.7 Partner Program Abuse

Partners shall not:

Refer themselves through another account to obtain commissions;

Generate artificial referrals;

Misrepresent PredicTrader;

Guarantee profits;

Represent hypothetical performance as actual trading;

Use spam;

Engage in deceptive advertising.

22.8 Market Abuse

PredicTrader may not be used for unlawful trading practices including, where applicable:

Market manipulation;

Spoofing;

Layering;

Wash trading;

Fraudulent trading;

Insider trading;

Any activity prohibited by applicable law or exchange rules.

PredicTrader LLC does not authorize or encourage unlawful trading practices.

22.9 Reservation of Rights

PredicTrader LLC may investigate suspected violations of these Terms and may suspend or terminate access where it reasonably determines a material violation has occurred.

Nothing in this section limits PredicTrader LLC's obligation to comply with applicable law or lawful governmental requests.

ARTICLE XXIII

TRADING RISKS AND AUTOMATED TRADING

23.1 Acknowledgment of Trading Risk

Trading futures, options, foreign exchange, contracts for difference, securities, cryptocurrencies, and other leveraged financial instruments involves substantial risk of loss.

You acknowledge that you may lose:

Part of your investment;

Your entire account balance; or

More than your initial investment where permitted by the applicable instrument or account agreement.

Only risk capital should be used for trading.

23.2 Automated Trading

PredicTrader may automate certain trading functions according to the settings selected by the User.

Automation may include:

Signal generation;

Order submission;

Order modification;

Position management;

Stop-loss management;

Profit-target management;

Trade exits;

Other programmed actions.

Automation does not eliminate trading risk.

23.3 User Control

The User remains solely responsible for:

Whether automation is enabled;

Account selection;

Instrument selection;

Contract quantity;

Risk settings;

Trading hours;

Strategy settings;

Monitoring open positions.

PredicTrader does not assume discretionary control over your brokerage account.

23.4 Monitoring

Users should actively monitor automated trading.

PredicTrader LLC recommends that users understand how to:

Disable automation;

Cancel orders;

Flatten positions;

Contact their broker;

Respond to connection failures.

PredicTrader is not designed to relieve users of responsibility for supervising their trading activities.

23.5 Platform Failures

Trading may be affected by:

Software defects;

Computer failures;

Internet outages;

Broker outages;

Exchange interruptions;

Data-feed failures;

Power failures;

Hardware failures;

Security incidents.

These events may result in delayed, missed, duplicate, or unintended orders.

23.6 Third-Party Execution

PredicTrader transmits or assists in transmitting trading instructions through third-party systems.

PredicTrader LLC does not control:

Broker execution;

Exchange matching;

Market liquidity;

Queue priority;

Slippage;

Partial fills;

Order rejection.

Execution quality depends upon numerous factors outside PredicTrader LLC's control.

23.7 Stop-Loss Orders

A stop-loss order is intended to reduce risk but cannot guarantee the amount of loss.

During rapidly moving markets, a stop-loss order may execute at a price substantially different from the stop price due to:

Gaps;

Illiquidity;

Volatility;

Exchange rules;

Broker execution;

Other market conditions.

23.8 Market Conditions

No trading strategy performs equally well in all market conditions.

HYPOTHETICAL PERFORMANCE, BACKTESTING, AND SIMULATION

24.1 General Warning

Historical, hypothetical, optimized, simulated, replay, demonstration, and backtested results have inherent limitations.

Such results should not be interpreted as actual trading performance.

24.2 No Representation

No representation is made that any account will or is likely to achieve profits or losses similar to those shown in:

Charts;

Demonstrations;

Videos;

Marketing materials;

Webinars;

User Guides;

Backtests;

Strategy Analyzer reports;

Simulations.

24.3 Limitations of Backtesting

Backtesting cannot perfectly account for factors including:

EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF PREDICTRADER LLC, PREDICTRADER LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

25.2 No Implied Warranties

To the fullest extent permitted by law, PredicTrader LLC disclaims all implied warranties, including but not limited to:

Merchantability;

Fitness for a particular purpose;

Title;

Non-infringement;

Quiet enjoyment;

Accuracy;

Reliability;

Availability.

Where implied warranties cannot legally be disclaimed, they shall be limited to the minimum extent permitted by applicable law.

25.3 No Warranty of Performance

PredicTrader LLC does not warrant that the Services will:

Produce profitable trades;

Increase investment returns;

Reduce losses;

Prevent drawdowns;

Generate signals in every market;

Generate any minimum number of trades;

Meet your expectations.

Trading results depend upon numerous variables beyond the control of PredicTrader LLC.

25.4 No Warranty of Accuracy

PredicTrader LLC does not warrant that:

Market data is accurate;

AI outputs are accurate;

Charts are error-free;

Documentation is complete;

Educational materials are free from mistakes.

Users should independently verify important information before relying upon it.

25.5 No Warranty of Continuous Operation

PredicTrader LLC does not warrant that the Services will be:

Continuous;

Uninterrupted;

Error-free;

Free from defects;

Free from security vulnerabilities;

Compatible with every software configuration.

25.6 No Warranty Regarding Third Parties

PredicTrader LLC makes no warranty regarding:

NinjaTrader;

Brokers;

Exchanges;

Data providers;

Internet providers;

Payment processors;

Cloud providers;

Third-party AI providers.

These services are operated independently.

25.7 Beta Features

Beta, Preview, Experimental, or Early Access features are provided without any warranty and may contain known or unknown defects.

25.8 Educational Content

Documentation, webinars, examples, and demonstrations are provided for educational purposes only.

PredicTrader LLC makes no warranty that educational materials are complete, current, or appropriate for every user's circumstances.

25.9 User Responsibility

You acknowledge that you are solely responsible for:

Selecting strategy settings;

Managing risk;

Monitoring automated trading;

Verifying order execution;

Confirming account balances;

Supervising your trading activity.

No warranty shifts these responsibilities to PredicTrader LLC.

ARTICLE XXVI

LIMITATION OF LIABILITY

26.1 Scope

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LIABILITY OF PREDICTRADER LLC SHALL BE LIMITED AS SET FORTH IN THIS ARTICLE.

Nothing in this Article excludes liability that cannot legally be excluded under applicable law.

26.2 Excluded Damages

To the fullest extent permitted by law, PredicTrader LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

Lost profits;

Lost trading opportunities;

Trading losses;

Loss of business;

Loss of goodwill;

Loss of data;

Loss of anticipated savings;

Loss of use;

Business interruption;

Reputational harm;

Cost of substitute products or services.

This exclusion applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, statute, or otherwise.

26.3 Trading Losses

Without limiting Section 26.2, PredicTrader LLC shall not be liable for losses resulting from:

Market movements;

Automated trading decisions;

User-selected settings;

Incorrect account selection;

Incorrect quantity selection;

Stop-loss execution;

Margin calls;

Liquidation;

Slippage;

Partial fills;

Order rejection;

Delayed execution;

Duplicate orders;

Connection failures.

Trading decisions remain solely the responsibility of the User.

26.4 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PREDICTRADER LLC ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

THE TOTAL FEES PAID BY THE USER TO PREDICTRADER LLC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

ONE HUNDRED U.S. DOLLARS (US $100).

This limitation applies regardless of the number of claims or theories of liability asserted.

26.5 Essential Basis of the Bargain

The parties acknowledge that:

The pricing of the Services reflects the allocation of risk contained in these Terms;

PredicTrader LLC would not provide the Services on the same economic terms without these liability limitations; and

The limitations of liability constitute an essential basis of the parties' agreement.

26.6 Failure of Essential Purpose

If any limited remedy is determined to have failed of its essential purpose, the limitations and exclusions contained in this Article shall continue to apply to the fullest extent permitted by law.

26.7 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain damages.

Where applicable law prohibits a limitation contained in this Article, that limitation shall apply only to the maximum extent permitted by law.

ARTICLE XXVII

INDEMNIFICATION

27.1 User Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless PredicTrader LLC and its:

Members;

Managers;

Officers;

Directors;

Employees;

Contractors;

Agents;

Affiliates;

Successors;

Assigns;

from and against any claims, demands, actions, liabilities, damages, judgments, settlements, losses, costs, and reasonable attorneys' fees arising out of or relating to:

Your use of the Services;

Your violation of these Terms;

Your violation of applicable law;

Your violation of exchange or broker rules;

Your infringement of intellectual property rights;

Your User Content;

Your negligence or willful misconduct.

27.2 Defense

PredicTrader LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification.

You agree to cooperate reasonably in such defense.

27.3 Settlement

You shall not settle any claim affecting PredicTrader LLC without PredicTrader LLC's prior written consent if the settlement:

Admits wrongdoing by PredicTrader LLC;

Imposes obligations upon PredicTrader LLC; or

Restricts PredicTrader LLC's rights.

27.4 Survival

The indemnification obligations contained in this Article survive termination of these Terms.

ARTICLE XXVIII

FORCE MAJEURE

28.1 Excused Performance

PredicTrader LLC shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control.

28.2 Force Majeure Events

Such events include, without limitation:

Natural disasters;

Earthquakes;

Floods;

Fires;

Hurricanes;

Pandemics;

Epidemics;

War;

Terrorism;

Civil unrest;

Government action;

Labor disputes;

Utility failures;

Internet outages;

Telecommunications failures;

Cyberattacks;

Distributed denial-of-service attacks;

Cloud-service outages;

Data-center failures;

Software supply-chain attacks;

Acts or omissions of third-party service providers;

Exchange interruptions;

Broker outages;

Market-data outages;

Payment-processor outages.

28.3 Mitigation

PredicTrader LLC will use commercially reasonable efforts to resume performance after the Force Majeure event has ended, where reasonably practicable.

28.4 Suspension

During a Force Majeure event, PredicTrader LLC may suspend or modify the Services as reasonably necessary to protect:

Customers;

Software integrity;

Licensing systems;

Security;

Operational continuity.

28.5 No Waiver

A delay caused by a Force Majeure event does not constitute a breach of these Terms and does not waive any rights or remedies available under this Agreement.

ARTICLE XXIX

SUSPENSION AND TERMINATION

29.1 Suspension by PredicTrader LLC

PredicTrader LLC may suspend, restrict, or disable access to all or part of the Services if it reasonably believes that:

These Terms have been materially violated;

Fraudulent activity has occurred;

Payment has failed or been reversed;

A chargeback has been initiated;

Licensing has been circumvented;

Security has been compromised;

Continued access presents a material risk to the Services, other users, or PredicTrader LLC;

Suspension is required by applicable law or a lawful governmental request.

Where reasonably practicable, PredicTrader LLC will provide notice of the suspension. Immediate suspension may occur without prior notice when necessary to protect security, comply with legal obligations, or prevent ongoing abuse.

29.2 Termination by the User

You may terminate this Agreement at any time by:

Canceling your subscription in accordance with the Refund and Cancellation Policy;

Discontinuing use of the Services; and

Removing the Software from your systems.

Termination of this Agreement does not automatically entitle you to a refund unless required by applicable law or expressly provided by PredicTrader LLC.

29.3 Termination by PredicTrader LLC

PredicTrader LLC may terminate this Agreement and your license if you materially breach these Terms, including but not limited to:

Unauthorized copying or distribution of the Software;

License sharing;

Circumvention of licensing mechanisms;

Fraudulent payment activity;

Repeated violation of acceptable-use requirements;

Unauthorized reverse engineering;

Abuse of support personnel;

Use of the Services for unlawful purposes.

Except where immediate termination is reasonably necessary, PredicTrader LLC may provide notice and an opportunity to cure the breach.

29.4 Effect of Termination

Upon termination:

Your license to use the Software immediately ends;

You must cease using the Software;

Future downloads, updates, and subscription-only features may be disabled;

Access to the Customer Portal may be limited or terminated;

PredicTrader LLC may deactivate or revoke software licenses associated with the terminated Account.

Termination does not relieve either party of obligations that accrued before termination.

29.5 Data Retention

Following termination, PredicTrader LLC may retain information reasonably necessary for:

Compliance with legal obligations;

Tax and accounting requirements;

Fraud prevention;

Security investigations;

Enforcement of these Terms;

Resolution of disputes.

Data handling practices are described in the Privacy Policy.

29.6 Survival

The following Articles survive termination to the extent applicable:

Intellectual Property;

Copyright;

Trademarks;

License Restrictions;

Warranty Disclaimers;

Limitation of Liability;

Indemnification;

Dispute Resolution;

Arbitration;

Governing Law;

Payment obligations accrued before termination;

Any other provision that by its nature should survive.

ARTICLE XXX

DISPUTE RESOLUTION

30.1 Good-Faith Resolution

Before commencing formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through informal discussions.

A party initiating a dispute should provide written notice describing:

The nature of the dispute;

The factual basis;

The requested resolution.

The parties will use commercially reasonable efforts to resolve the matter informally.

30.2 Time to Bring Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to the Services must be commenced within one (1) year after the claim arose or reasonably should have been discovered.

This limitation does not apply where prohibited by law.

30.3 Equitable Relief

Nothing in these Terms prevents PredicTrader LLC from seeking temporary, preliminary, or permanent injunctive or equitable relief to protect:

Intellectual property;

Confidential information;

Trade secrets;

Software licensing systems;

Security systems.

ARTICLE XXXI

ARBITRATION

Important: Arbitration and class-action waiver provisions should be reviewed by Nevada counsel before publication to ensure compliance with current federal and state law.

31.1 Agreement to Arbitrate

Except for claims that may properly be brought in small claims court or requests for equitable relief under Section 30.3, the parties agree that any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration rather than in court.

31.2 Arbitration Rules

Unless otherwise required by law, arbitration shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, depending on the nature of the dispute.

31.3 Location

Unless the parties agree otherwise or the arbitration rules provide otherwise, arbitration shall take place in Clark County, Nevada, or may be conducted remotely where permitted by the applicable arbitration rules.

31.4 Individual Proceedings

To the fullest extent permitted by law, arbitration shall be conducted only on an individual basis.

Claims may not be arbitrated as:

A class action;

A representative action;

A private attorney general action; or

A consolidated proceeding,

unless applicable law requires otherwise.

31.5 Arbitration Award

The arbitrator may award any relief that would otherwise be available in a court of competent jurisdiction, subject to the limitations contained in these Terms.

Judgment on the arbitration award may be entered in any court having jurisdiction.

ARTICLE XXXII

GOVERNING LAW AND VENUE

32.1 Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles.

This choice of law does not deprive consumers of mandatory protections that cannot be waived under applicable law.

32.2 Judicial Proceedings

Where arbitration does not apply, or where judicial proceedings are permitted by these Terms or applicable law, the parties consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada, unless another venue is required by applicable law.

32.3 Attorneys' Fees

Unless otherwise required by applicable law or ordered by the arbitrator or court, each party shall bear its own attorneys' fees and costs.

Where a statute or contract provides otherwise, the prevailing party may recover fees and costs as permitted by law.

ARTICLE XXXIII

MISCELLANEOUS

33.1 Entire Agreement

These Terms, together with all incorporated policies and any applicable written agreements between the parties, constitute the entire agreement relating to the Services and supersede all prior or contemporaneous communications, representations, and agreements concerning the same subject matter.

33.2 Severability

If any provision of these Terms is determined by a court or arbitrator to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted, modified, or replaced to the minimum extent necessary to make it enforceable while preserving the parties' original intent as closely as possible.

33.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of PredicTrader LLC.

Failure to enforce any provision shall not constitute a waiver of future enforcement.

33.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of PredicTrader LLC.

PredicTrader LLC may assign these Terms in connection with:

A merger;

Acquisition;

Corporate reorganization;

Sale of assets;

33.5 Independent Contractors

Nothing in these Terms creates:

A partnership;

Joint venture;

Agency;

Employment relationship; or

Fiduciary relationship

between the parties.

33.6 No Third-Party Beneficiaries

Except as expressly provided in these Terms, no person or entity that is not a party to this Agreement shall have any right to enforce any provision of these Terms.

PredicTrader LLC may provide notices by:

Email;

Customer Portal;

Website posting;

Software notification; or

Any other reasonable electronic method.

You are responsible for maintaining a current email address associated with your Account.

33.8 Export Compliance

You agree to comply with all applicable export-control and economic-sanctions laws in connection with your use of the Services.

You represent that you are not prohibited from receiving the Services under applicable export-control or sanctions laws.

33.9 Relationship to Other Policies

The following policies are incorporated by reference and form part of these Terms:

Privacy Policy;

Refund and Cancellation Policy;

Risk Disclosure;

Partner Program Agreement (if applicable).

In the event of a conflict, a product-specific written agreement signed by both parties will control for the subject matter it addresses.

Unless the context clearly requires otherwise:

The singular includes the plural and vice versa;
